Annual and Special Stockholders Meeting Privacy Notice

 

DigiPlus Interactive Corp., its subsidiaries and affiliates (collectively referred to as “DigiPlus”) is committed to protecting the privacy and ensuring the security of your personal information. This Privacy Notice aims to provide you with information regarding the collection, use, disclosure, and protection of your personal information in relation to Annual and Special Stockholders Meetings convened by DigiPlus in accordance with the Revised Corporation Code of the Philippines (Republic Act No. 11232).

 

This Privacy Notice shall be applicable to all participants of Annual or Special Stockholders Meetings, including stockholders, their representatives or proxies, brokers, investors, DigiPlus’ directors, officers, employees, agents and all other persons who attend.

 

1. Personal Information Controller

DigiPlus Interactive Corp., located at Ecoprime Building, 32nd Street corner Ninth Avenue, Bonifacio Global City, Taguig City is the Personal Information Controller (PIC) responsible for the processing of your personal information. 2. Types of Personal Information Collected

– We may collect and process the following personal information related to you as an attendee of annual or special stockholders’ meeting:

– Contact information (e.g., name, address, email address, telephone number);

– Stock ownership details;

– Identification documents (e.g., government-issued ID, passport);

– Attendance records for annual and special board meetings;

– Any other personal data necessary for the fulfillment of legal and regulatory obligations under the Revised Corporation Code of the Philippines.

 

3. Purpose and Legal Basis of Processing

We collect and process your personal information for the following purposes:

For stockholders:

– To facilitate communication and provide updates on stockholder meetings, including annual and special meetings;

– To establish your identity as a stockholder of record in order to perform services in connection with being a stockholder, such as managing, administering, approving or facilitating any transaction or action in relation to your shares of stock, the payment of your dividends, and the registration of your shares in the stock and transfer books;

– To perform statistical analysis to improve the timeliness and accuracy of services provided to stockholders;

– To comply with the reportorial obligations with the Philippine Stock Exchange (PSE) and other regulatory agencies and instrumentalities of the government, including, but not limited to the Securities and Exchange Commission (SEC) and Bureau of Internal Revenue (BIR);

– To comply with and/or to respond to legal processes or lawful orders of any judicial or quasi-judicial body;

– To comply with other legal and regulatory obligations under the Revised Corporation Code of the Philippines;

– To exercise and protect our rights and interests as a corporation;

– To fulfill any other legitimate purposes identified at the time of data collection or as required by law.

– Any other purpose analogous to the foregoing.

 

For other attendees:

– For documentation of attendance;

– To fulfill any other legitimate purposes identified at the time of data collection or as required by law;

– To exercise and protect our rights and interests as a corporation;

– Any other purpose analogous to the foregoing.

 

The information shall be collected, processed, and stored in compliance with the Republic Act No. 10173, also known as the Data Privacy Act of 2012, with its Implementing Rules and Regulations, other relevant laws and issuances by the National Privacy Commission (NPC) and in line with DigiPlus’ privacy policies. The legal basis for processing your personal data may include the necessity of processing for the performance of a contract, compliance with legal obligations, protection of vital interests, or legitimate interests pursued by DigiPlus.

 

4. Sharing and Disclosure of Personal Information

We may share your personal data with the following entities, for the purposes stated above, and as required by applicable laws and regulations:

– Members of the Board of Directors and authorized officers of DigiPlus;

– External professional advisors, such as legal counsel and auditors;

– Regulatory and government authorities, as required by law or as necessary for the protection of our rights and interests;

– Any court of law or administrative agency of the government exercising quasi-judicial powers, pursuant to a lawful order issued in relation to a pending case or proceeding before such court or agency;

– Lenders or creditors of DigiPlus, underwriters, as well as the consultants, advisers or, auditors of the foregoing;

– Duly authorized agents or representatives of stockholders;

– Third-party service providers who act as data processors on our behalf and process personal data in accordance with our instructions and applicable data protection laws;

– Any regulatory, quasi-judicial or judicial authority, or as otherwise considered necessary or appropriate by the Company for its legitimate business purposes;

– Any other purpose analogous to the foregoing.

 

5. Retention of Personal Information

The processing of your Personal Information will continue as may be necessary: (i) for the purposes stated herein; (ii) for the establishment, exercise or defense of legal claims; (iii) to fulfill requirements under the law, regulation or court order. If you request that you should not be able to access our services (i.e. self-exclude), we will retain this information for a minimum of five (5) years, from request, before permanent deletion.

 

6. Security Measures

We implement reasonable and appropriate security measures to protect your personal information from unauthorized access, alteration, disclosure, or destruction. These measures include physical, technical, and organizational safeguards that comply with relevant industry standards and practices.

 

7. Rights of Data Subjects

As a data subject, you have certain rights under the Philippine Data Privacy Act, including the right to access, correct, update, and delete your personal data. We may update or amend this Privacy Notice from time to time to reflect changes in our data processing practices or legal requirements. Any updates or amendments will be posted on our website, and we encourage you to review this Privacy Notice periodically.
